Terms of Service

Thank you for using TRC LEI Services, a service provided by The Reporting Company, LLC ("TRC," "we," "us," or "our"), located at 1185 Avenue of the Americas, New York, NY 10036. These Terms of Service ("Terms") govern your access to and use of the LEI registration, renewal, and related services available through https://www.thereportingco.com/sections/lei/services.html (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Introduction

A. The Global Legal Entity Identifier Foundation (GLEIF) is a not-for-profit organization established by the Financial Stability Board to support the implementation and use of the Legal Entity Identifier (LEI).

B. GLEIF and its partnering Local Operating Units ("LOUs") operate a system of worldwide unique Legal Entity Identifiers and LEI repositories containing reference data about the relevant legal entities ("Legal Entity Reference Data" or "LE-RD").

C. TRC acts as a Registration Agent, facilitating the submission of LEI applications to accredited LOUs on behalf of applicants. TRC is not itself an LOU.

2. Definitions

"LEI" means a Legal Entity Identifier, a unique 20-character alphanumeric code assigned to a legal entity participating in financial transactions, as defined by ISO 17442.

"Registration Agent" means an entity authorized to facilitate the LEI application and renewal process on behalf of legal entities with an accredited LOU.

"LOU" means a Local Operating Unit accredited by GLEIF to issue and manage LEIs.

"LE-RD" means Legal Entity Reference Data, the information associated with an LEI in the Global LEI System, including entity name, registered address, and other identifying details.

"Service" means the LEI registration, renewal, transfer, and related services provided by TRC through its website.

"User," "You," "Your" refers to any individual or entity using the Service.

3. Service Description

3.1 TRC provides LEI registration and renewal services by acting as a Registration Agent. We facilitate the submission of your LEI application to an accredited LOU, which issues and maintains the LEI in the Global LEI System.

3.2 Our Service includes new LEI registration, annual renewal, multi-year renewal plans, and LEI transfers from other providers.

3.3 The issuance, maintenance, and management of LEIs within the Global LEI System is ultimately governed by GLEIF policies and the applicable LOU's terms and conditions.

4. User Obligations

4.1 By using the Service, you represent and warrant that:

4.2 You acknowledge that the accuracy of LE-RD associated with your LEI depends on the information you provide. TRC is not responsible for errors or omissions resulting from inaccurate information supplied by you.

4.3 You agree not to interfere with or disrupt the Service or its underlying systems, or attempt to gain unauthorized access to any part of the Service.

5. Fees and Payment

5.1 Fees for the Service are as displayed on our pricing page at the time of your order. All fees include applicable GLEIF and LOU charges.

5.2 Payment is due at the time of order submission. LEI processing will not commence until payment has been received in full.

5.3 TRC reserves the right to modify its fees at any time. Fee changes will not affect orders already submitted and paid for.

5.4 Refunds may be issued at TRC's discretion if an LEI application cannot be processed. Once an LEI has been issued or renewed, fees are non-refundable.

6. LEI Renewal and Lapse

6.1 LEIs require annual renewal to remain active in the Global LEI System. If you have purchased a multi-year plan, TRC will facilitate renewals for the duration of your plan.

6.2 It is your responsibility to ensure your LEI remains current. TRC will make reasonable efforts to send renewal reminders, but failure to receive a reminder does not relieve you of the obligation to renew.

6.3 A lapsed LEI may result in the entity being unable to execute certain financial transactions that require an active LEI. TRC is not liable for any consequences arising from a lapsed LEI.

7. Intellectual Property

7.1 LEIs and LE-RD within the Global LEI System are provided under open data principles as established by GLEIF.

7.2 All content, design, text, graphics, and other materials on the TRC website are the property of The Reporting Company, LLC or its licensors and are protected by applicable intellectual property laws.

7.3 You may not reproduce, distribute, or create derivative works from any content on our website without our prior written consent.

8. Disclaimer of Warranties

8.1 THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TRC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICE.

8.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8.3 TRC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8.4 THE ISSUANCE OF LEIS IS BASED ON INFORMATION PROVIDED BY APPLICANTS AND VERIFIED BY THE APPLICABLE LOU. TRC DOES NOT GUARANTEE THE ACCURACY OF LE-RD OR THAT A PARTICULAR LEI APPLICATION WILL BE APPROVED.

9. Limitation of Liability

9.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE.

9.2 TRC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO TRC FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.3 TRC IS NOT LIABLE FOR ANY DELAYS, FAILURES, OR ERRORS IN LEI ISSUANCE OR RENEWAL CAUSED BY THE APPLICABLE LOU, GLEIF, OR THIRD-PARTY SYSTEMS.

10. Indemnification

You agree to indemnify, defend, and hold harmless TRC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any inaccurate or incomplete information you provide in connection with your LEI application.

11. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described therein.

Please note that certain information submitted as part of an LEI application will be included in the LE-RD and made publicly available through the Global LEI System, as required by GLEIF policies.

12. Modifications to Terms

TRC reserves the right to modify these Terms at any time by posting the revised Terms on this page. The "Last updated" date at the top of this page indicates when the Terms were last revised. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

13. Governing Law and Jurisdiction

13.1 These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

13.2 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of New York, County of New York.
